This Agreement is entered into between RMD Financial Corporation (RMD) and the undersigned ___________________________________, “the Bidder.”  The Bidder will have access to confidentiality business and financial information about RMD and his clients, and may represent RMD in his negotiation with third parties.

Whereas, the Bidder's activities would include information and/or proprietary economic, commercial, marketing and financial information (Confidential Information).  And whereas such Confidential information is being disclosed to the Bidder solely for the purpose of allowing Bidder to bid on airport concessions.  Disclosure by RMD to Bidder of such Confidential Information is necessary in order for Bidder to bid on airport concessions.  Now, therefore, in consideration of the opportunity to review RMD's confidential information, Bidder hereby agrees to the following terms and conditions:

1. NON-DISCLOSURE AND USE OF INFORMATION

 Bidder agrees that all information shared by RMD shall be considered to be Confidential Information and will be used by Bidder solely for the above mentioned purpose.  Bidder further agrees not to disclose any of the Confidential Information to any third party (other than those identified in Paragraph 3) without receiving prior written authorization from RMD.  Bidder agrees to indemnify and hold harmless RMD against any liability and for any and all damages and legal fees, court costs and expenses that may result from a breach of this Agreement by Bidder, its agents, Bidders, officers or directors.

 Bidder agrees to refrain from duplicating any information obtained or the Confidential Information contained therein without the prior written authorization of RMD.

 With regard to the Bidder, agents, officers or directors who receive any of the Confidential Information, Bidder shall inform each of them of the terms and conditions of the Confidential Information, and require each of them to abide by the same.

 In the event that Bidder is in a partnership, the provision of this Agreement relating to access to, and disclosure of, Confidential Information shall apply to all partners, officers, directors, Bidders and agents of Bidder, as applicable, and Bidder shall be responsible with the terms hereof.

 This Agreement shall be governed by Federal law, and. to the extent that state law would apply under the applicable Federal law, the laws of the State of Colorado.

 If any legal action or other proceeding of any kind is brought for the enforcement of this Agreement or because of an alleged breach, default, or any other dispute in connection with any provision of this Agreement, the successful or prevailing party shall be entitled to recover all reasonable attorney's fees and other costs incurred in such action or proceedings, in addition to any relief to which it may be entitled.

This Agreement is the entire Agreement between the parties, the terms of which shall service the termination of any contract between Bidder and RMD, and no other agreement, whether oral, by action, or in writing, shall be a part of this agreement.
