Financial Information

Provide financial statements of your organization as follows:

Publicly Held Corporation

(Attach As Attachment 9.)

          1) Consolidated financial statements as submitted to the Securities and Exchange
               Commission (SEC) on Form 10K for your last two fiscal years.
           2) The most recent Form 100 since the last Form 10K was submitted.
           3) Any Form 8K's in your last fiscal year.

Privately Held Organization

(Attach As Attachment 10.)

1) List the following numbers for all principals: Social security, federal
       identification, state identification, and city identification.
2) Provide complete income tax returns or financial statements for the two
      most current years, including notes thereto, certified by corporate official as
      to accuracy, or income tax return of owners for the past two years.
3) List obligations (business and personal) detailing names, addresses,
       phone numbers, account numbers, current balances, and contact persons.
4) Disclosure of long-term receivable and payable, including current status.
       Provide details and documents including contact person(s).
5) List major (more than 80% of cash activity) bank accounts, detailing bank name,
       address, account numbers, current balance by account, and contact person(s).
6) Real estate declared as assets.

Financing

Proposers must specify how they are going to finance the venture, debt financing, equity financing, etc. Depending on the type of financing, the company will need to provide the following:

Bank Financing
A letter of commitment from a bank for the amount of financing expected for your concession at TGC. (Attach as Attachment 11.)

Internal Resources of the Company
Recent balance sheet of the company demonstrating sufficient liquid assets in excess of current liabilities. Indicate assets that are intended for startup of the TGC concession. (Attach as Attachment 12.)

Personal Resources
Provide details about personal assets available and supporting documentation of those resources. For example, if real property is to be sold to finance the concession at the TGC, then provide evidence of the current value of the asset(s) to be sold, and details of any liens and/or mortgages currently held on the property. (Attach as Attachment 13.)

Cash Infusion or Loan from Shareholder or Corporate Parent

Written statement from the shareholder or corporate parent of the amount to be

funded and the terms of that funding.

Supporting documentation (i.e. balance sheet) of resources of shareholder

or corporate parent.

The City reserves the right to confirm and request clarification of all information provided. Incomplete disclosures may deem your Proposal to be non-responsive by the City, and the Proposal may be rejected and returned. (Attach as Attachment 14.)

Surety Information

Management Teams

Each proposer should give special attention to identification and negotiations with highly qualified team members in all areas of their TGC concession management plan. The successful proposer will finance and manage the TGC. However, the City and County of Denver reserves the right to reject any or all team members before the contract is awarded or at any time during the course of the concession contract. The City and County of Denver will hold the concessionaire fully responsible for every aspect of the TGC operational management.

Questionnaire Minimum Required Documentation

Each proposer must attach, at a minimum, to this questionnaire the following:

     A) Annual Financial Statements;
     B) Articles of Incorporation;
     C) Background information on the proposer’s concession management teams must include;

Evidence that each team member has experience in their area of expertise;
Evidence that each team member has the financial capacity to fund their portion of the renovation and concession project;
Evidence that each team member has an acceptable management plan;

   D) Bonding Company Information;
   E) Business Insurance;
   F) Certificate of Good Standing;
   G) Corporate By-laws;
   H) Current Resumes;
    I) Federal Income Tax Returns - (2 yr.) Personal;
    J) History of Business;
   K) Interim Financial Statements (90 days or less);
   L) Letters of reference from two or more parties;
M) List of five most recently managed golf course concessions;
   N) Organization Chart;
   O) Personal Financial Statements (10% or more stockholders).

Confidentiality of Records

Proposer should give specific attention to the identification of any portions of their Proposal, which they deem confidential, or which contains proprietary information or trade secrets, copyrights, patents, or patents pending. Proposer should provide justification of why materials, upon request, should not be disclosed by the City under the Colorado Open Records Act (C.B.S, 24-72-201 through 205). The City may otherwise use or disclose the data submitted by each Proposer. The Proposer's opinion of proprietary information is not necessarily binding on the City. (Attach as Attachment 18.)
